Lecturer: Lawyer Yu Yongbo
In this course, lawyer Yu starts from three levels: case selection, trial attack and defense, and litigation elements.
First of all, lawyer Yu introduced how to identify the business of this case, and gave an example to introduce the difference between business identification and legal recognition.
Then, lawyer Yu explained the core points of the dispute requesting the company to repurchase shares in detail from the two dimensions of statutory repurchase and intentional repurchase.
In the chapter on statutory repurchase, Yu Lv first explains the four legal situations in which shareholders of a limited company have the right to request the company to acquire shares, and combines wonderful real cases to analyze in detail the establishment conditions, call-over procedures, and how to determine a reasonable price corresponding to the three classic situations. He also introduces in detail how to understand and identify the fourth "controlling shareholder oppression" situation added to Article
89(3) of the new law.
Afterwards, Yu Lv compares the repurchase regulations of the joint stock company with the repurchase regulations of the limited company, and then deduces the core legal principle of the statutory repurchase right.
In the chapter of intentional repurchase, Yu Lu focuses on the problem that the gambling agreement is "effective in form, but not in substance", and then deduces that the core meaning of intentional repurchase is to balance the protection of the interests of creditors.
Finally, lawyer Yu introduced the litigation elements of this case, which provided practical support for the litigation practice of the on-site students.
