From a unique perspective, lawyer Yu Yongbo analyzed the four business focuses and two legal tricks of the big equity war in the "Bao Wan dispute" capital game, which lasted the longest, involved the largest amount of money, and involved the widest range in China's business history. Through his solid foundation in company law theory and practice, lawyer Yu traveled through time and space, deconstructed the difficult points behind the "Bao Wan dispute" through the form of stories, guided the students to dig deeper litigation strategies, and ushered in bursts of applause from the students.

Lecturer: Lawyer Yu Yongbo
In this course, lawyer Yu starts from three levels: case selection, trial attack and defense, and litigation elements.
First of all, lawyer Yu introduced how to identify the business of this case, and gave an example to introduce the difference between business identification and legal recognition.
Then, lawyer Yu explained the simple merger system and small-scale merger system in the new company law, and compared the merger and separation system and the capital reduction system from the perspective of creditor protection, revealing the underlying legal principles of the merger and separation system in depth.
Then, Mr. Yu focused on the "Bao-Wan dispute", which lasted the longest, involved the largest amount of money, and involved the most square capital game in China's commercial history. Mr. Yu not only extracted the difficult points behind the "Bao-Wan dispute" from the perspective of company law, but also combined with the three company laws of 2005, 2018, and 2024 to analyze the reasons for the delay of the Bao-Neng fighter jet from the time dimension and why the reorganization plan of the Vanke board was not rejected.
The content was fascinating, which made the students on the scene linger.
Finally, lawyer Yu introduced the litigation elements of this case, which provided practical support for the litigation practice of the on-site students.
