Shareholder Litigation Research Association 2022 At the Sixth Annual Professional Summary Conference, Attorney Yu Yongbo, founder and president of the Shareholder Litigation Research Association, delivered the opening address. Attorney Yu Yongbo believes that,2022 The 15th Shareholders’ Research Conference was the first to be open to lawyers from across the city; it was described as the “most dazzling” and the “youngest” edition. In addition to active discussions at the symposium, the conference featured a pioneering self-drive tour of Gannan and the production of two short films on corporate law, with content that was both engaging and vibrant.
Attorney Yu expressed his gratitude and appreciation to the current Working Committee, the organizing team of this lecture series, the four keynote speakers, and the other members of the speaking team. He also spoke with deep emotion, comparing himself to a parent standing on the platform, reluctantly seeing one cohort of members depart after another.
In closing, Attorney Yu shared some heartfelt words, urging everyone to visit home more often.

Subsequently, Director Gu Xiaocheng, Executive Director of the Qianhai and Hong Kong branches of

Attorney Zhang expressed his gratitude toward Attorney Yu Yongbo and the Shareholder Litigation Research Association, and also encouraged young lawyers to actively participate in the association.

Following a brief address, the Shareholder Litigation Research Association’s Sixth Annual Professional Summary Conference for 2022 officially commenced.
Four lawyers representing the research association will, from four distinct perspectives—protection of corporate creditors, confirmation of shareholder qualifications, avenues for shareholder exit, and shareholder liability in enforcement objections—present a comprehensive and expert‑level seminar.

The theme of lawyer Lv Tai Yongzhi's speech is "The Protection of the Interests of the Creditors of the Company". Lawyer Lv Tai Yongzhi first introduced the theoretical basis of the shareholder's capital enrichment obligation and the corresponding responsibility through four cases of showing the defective capital contribution to supplement the responsibility, the final ruling to accelerate the expiration of the final ruling, the defective shares to take the responsibility maliciously, and the withdrawal of the shares to know the joint, then it analyzes the joint and several liability that shareholders may face when they abuse the independent status of legal person and limited liability to evade debts, and finally shares the different liability of the liquidation obligor and the members of the liquidation group in the event of illegal liquidation and the technique of "getting out" of minority shareholders.

the theme of lawyer xu ruiwei's speech is "offensive and defensive thinking of shareholder qualification confirmation". lawyer xu ruiwei first introduced the judgment ideas of shareholder qualification from the perspectives of form and substance, internal and external rules, and then verified the two rules by combining the application of equity holding and the explanation of real cases, then through the analysis of shareholder capital contribution, new capital subscription and other cases to share the multi-scenario application of shareholder qualification, and finally reviewed and summarized the method of shareholder qualification confirmation.

The theme of lawyer Li Jiawen's speech is "The Sorting and Analysis of the Path of Shareholder Withdrawal". Lawyer Li Jiawen's sharing starts from a story, which brings forward three topics to be discussed today in a fascinating and interlocking way: Lawyer Li Jiawen first introduces what is shareholder withdrawal, then, according to the core legal provisions, the four shareholder exit paths of equity transfer, company capital reduction, dissenting shareholder repurchase request right and company forced dissolution are shared, and finally the process and advantages and disadvantages of these four paths are compared horizontally so that shareholders can consider and choose according to their own situation.

The theme of lawyer Fang Qihuan's speech is "Shareholder's Responsibility in the Objection of Execution". Based on his own experience and daily confusion, lawyer Fang Qihuan firstly introduces the theoretical basis of adding shareholders as the subject of execution in the execution procedure, starting from the problem of what the creditors can do when the company has no property for execution and the final execution, then, combined with the legal provisions and practical cases, the situation of creditors adding shareholders to be executed is analyzed, and finally the procedural safeguards of shareholders are shared from the perspective of relief when shareholders are added.
During the series of presentations, all 14 members of the 2022 cohort of the Shareholder Litigation Research Association each shared their heartfelt remarks for approximately two minutes.
