On January 15, 2026, the Corporate Law Special Committee of the Guizhou Provincial Lawyers Association hosted a “Practical Highlights and Case Study Sharing Salon” in Chongqing, held against the backdrop of the revision of the Company Law.Kunyuan Hengtai (Guiyang) Law Firm was successfully held. Guangdong Zhiheng (Guiyang) Law Firm (hereinafter referred to as “Zhiheng Guiyang”)Senior EquityPartner and Director of the Intellectual Property Law Department, Attorney Zhang Yedan, was invited to attend, speaking on... “How Can Creditors Sue Shareholders Under the New Company Law? Under the theme of “” ,” we will deliver a practical session packed with valuable insights.

This salon brings together seasoned professionals from the judiciary, academia, and the legal profession, focusing on the key issues arising after the implementation of the new Company Law.Drawing on many years of practical experience in corporate law, Attorney Zhang Yedan provides an in-depth analysis of the key amendments to the 2023 Company Law from the perspective of creditors’ rights protection.

She pointed out that the new law, through three key mechanisms—disregarding corporate personality, accelerating the maturity of capital contributions, and holding shareholders accountable for defective contributions—has achieved a paradigm shift from “only suing the company” to “precisely targeting shareholders,” thereby resolving the enforcement dilemma under the old law where companies were mere shells while shareholders remained financially secure.

During the presentation, Attorney Zhang systematically outlined the three core avenues for creditors to hold parties liable: piercing the corporate veil both vertically and horizontally, directly targeting shareholders’ capital contribution obligations, and leveraging the rule of reversed burden of proof applicable to single-member companies. With respect to common scenarios such as commingling of assets, excessive control, and significantly inadequate capitalization, she drew on the Supreme People’s Court’s guiding cases to provide a detailed explanation of the key points for judicial determination and evidence‑preservation techniques.

At the same time, through a five-step action roadmap—due diligence lock‑in, evidence preservation, litigation preservation, accountability pursuit, and enforcement and asset realization—the firm provides creditors with a practical guide to protecting their rights.

As a seasoned attorney specializing in corporate law, Attorney Zhang Yedan possesses both a solid theoretical foundation and extensive practical experience. Attorney Zhang Yedan currently holds several public positions, including member of the Corporate Law Committee of the Guizhou Provincial Lawyers Association and Deputy Director of the Corporate Law Committee of the Guiyang Municipal Lawyers Association.
